What is the difference between and ADR and an ADS?

An ADR is a negotiable certificate issued by a depositary bank representing a specific number of shares of a non-U.S. company traded on a U.S. stock exchange. An ADS is the share issued under the ADR agreement which is actually traded. In many cases the terms ADR and ADS are used interchangeably. Effective September 17, 2025 each Sequans ADS will represent one hundred ordinary shares of Sequans.

What is the impact of the change in the ADS/share ratio of September 17, 2025?

On September 4, 2025 Sequans announced that its Board of Directors had approved a change in the number of its ordinary shares represented by American Depositary Shares, issued by the Bank of New York Mellon as depositary, from 10 ordinary share per ADS to 100 ordinary shares per ADS (see Press Release of Sep. 4, 2025).  The ADSs will continue to trade on the New York Stock Exchange (“NYSE”) under the ticker symbol “SQNS”.

The new ADS to ordinary share ratio of 1 for 100 will be effective prior to the commencement of trading on the New York Stock Exchange on September 17, 2025. For the Company’s ADS holders, the ADS ratio change will have the same effect as a one-for-ten reverse ADS split. No fractional new ADSs will be issued in connection with the ADS ratio change. Holders who would otherwise receive fractional ADSs will receive a cash payment in lieu of such fractional ADSs. The cash in lieu rate will be set when the depositary sells the ADSs that would otherwise have been issued as fractional ADSs in one or more market trades. Effective September 17, 2025, Holders in the Direct Registration System and in DTC will have their ADSs automatically exchanged and need not take any action.  Beneficial holders may contact their bank, broker or nominee for more information. ADS holders with ADSs held in certificate form will be required to exchange their certificates for new book-entry ADSs at a rate of 10 old ADSs for 1 new ADS.

Does Sequans pay dividends?

No, Sequans does not currently pay dividends.

Is Sequans a Passive Foreign Investment Company (“PFIC”) under U.S. tax law?

For the fiscal year 2025 and possibly for fiscal year 2026, the Company believes that an investments in Sequans Communications S.A. constitutes an investment in a PFIC under U.S. tax law. PFICs are generally foreign corporations that primarily generate passive income or hold passive assets. Investments in PFICs—including publicly traded companies— generally require annual IRS reporting and are subject to unique tax rules that can result in different tax treatment compared to domestic investments. Based on current draft financial statement results, no income/gain from the PFIC is expected. This will be refined in 2026 once full year results are finalized. We strongly encourage you to consult your tax advisor to understand the specific reporting obligations and potential tax impact of your investment in this PFIC.
